Terms of Service

These Terms are a working draft pending review by external counsel. By using Sanad you accept them as written; we will notify all signed-up tenants by email at least 30 days before any material change.

1. The Service

Sanad ("the Service") is a sovereign compliance attestation platform operated by COGNOSHIFT PRIVATE LIMITED ("we", "us"), a company incorporated in India (CIN U85499HR2025PTC130446). The Service consists of APIs and a tenant console for issuing, signing, and verifying compliance artifacts.

2. Tenants & Authorisation

You must register a tenant under the lawful authority of the organisation you represent. Each tenant receives a unique license key that authenticates all API requests. You are responsible for protecting that key as you would a password. We are not liable for actions taken with a key you have failed to safeguard.

3. Acceptable Use

You agree to use the Service only for lawful purposes consistent with your obligations under Indian law (DPDP Act 2023, CERT-In Directions 2022, sectoral regulations as applicable) and our Acceptable Use Policy.

4. Fees

Plan pricing is published on the in-product Billing page and on our public Pricing page. Fees are payable in INR and processed by Razorpay. We reserve the right to change pricing on 30 days' notice; pricing changes do not apply to in-flight billing periods.

5. Suspension & Termination

We may suspend access on non-payment, on detection of abuse, or as required by law. Either party may terminate by written notice; on termination, signed artifacts and chain history remain available to you for export for 90 days unless legally required to be retained longer.

6. Data Protection

Where we process personal data on your behalf, we act as a data processor and the relationship is governed by our Data Processing Agreement (DPA). Tenants designated as Significant Data Fiduciaries under DPDP retain ultimate accountability for compliance.

7. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted or error-free. Cryptographic signatures produced by the Service are independently verifiable; however, the regulatory acceptance of those signatures by any specific authority is the tenant's responsibility to confirm.

8. Limitation of Liability

To the maximum extent permitted by Indian law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute will be resolved in the courts of Gurugram, Haryana.
